This “Legal Notice and Terms” (hereinafter referred to as the “Notice” or the “Terms”) sets out the rights, obligations, responsibilities and protections relating to the use of all online channels operated by Versalis (website, social media accounts, etc.) and the content, products and services accessible through these channels. Persons who do not accept the provisions of this Notice may in no way benefit from Versalis’ online channels and services. The Privacy Policy, Returns/Exchange Policy and all other additional regulations also constitute supplementary provisions to this Notice and are not rendered invalid in the event of any breach.
Versalis® and So Soft® are trademark names for which registration applications have been filed. All commercial rights are reserved.

“Product” refers to all kinds of textiles, shawls, scarves, accessories and similar materials offered for sale on the Website.

“Service” refers to all digital content provided through the Website, customer support tools, order processes, payment services, cargo and delivery management, returns/exchange processes and the technical infrastructure and add-ons related thereto.

4. PROVISION OF SERVICES AND PRODUCTS

The Website has been created to showcase, promote and sell online Versalis’ premium segment “So Soft” shawl and scarf collection, digital print designs, patterned shawls, accessories and other textile products.

Although all Products offered on the Website are displayed as closely as possible to their true colors and quality characteristics, slight deviations in color may occur between what you see at the time of ordering and the actual product due to screen resolutions, device differences and digital printing variations. This does not constitute a breach of our duty to inform in product orders.

Our Services cover the Website infrastructure, customer support unit, payment infrastructure, cargo and delivery agreements, returns/exchange processes, individual membership forms and e-invoicing service integrated with the Digital Tax Office, as required for e-commerce. Versalis provides the Services “as is” and “as available” without any additional representation, warranty or undertaking.

AI-Assisted Services:
Some product descriptions, customer support responses or recommendation systems on our website are enhanced by artificial intelligence (AI)-based automation. Content generated by AI is, as far as possible, reviewed and approved under human supervision; however, in view of the possibility of incorrect, incomplete or automated responses, the final assessment and decision always rests with the user.
Versalis’ liability for any content errors arising from AI-assisted tools is limited to the monetary value of the product/service.
Some content and customer support on our website are supported by AI-powered automation. Final quality control is ensured through human oversight.
5. PAYMENT INFRASTRUCTURE AND CARD SECURITY
All online payments made via Versalis are processed through the İyzico secure virtual POS infrastructure, provided by one of Türkiye’s leading payment institutions.
İyzico holds a license from the BRSA (Banking Regulation and Supervision Agency) in accordance with Law No. 6493, and card information is protected with high security standards (PCI DSS compliance, SSL encryption, 3D Secure, etc.).
Versalis undertakes that it never stores credit card or payment information on its own servers.

6. TRADEMARK, PATENT AND INTELLECTUAL PROPERTY
Registration and Patent Status:
The “Versalis” and “So Soft” brands are currently in the process of registration/patent procedures and have not yet been officially registered.
All product names, collection names and original content on the website are protected under applicable legislation with respect to general commercial rights and against unfair competition.
Any parties wishing to make a claim regarding infringement of third-party or brand rights must first submit a written application to info@sapphiresc.com.
7. VAT AND PRICING
VAT Application:
All product and service prices stated on the Website include 20% Value Added Tax (VAT).
The VAT rate may be updated in line with changes in tax legislation.
The VAT rate legally indicated on your invoices is the applicable rate and is clearly stated in the order confirmation and on the invoice.
8. MEMBERSHIP AND ACCOUNT SECURITY

To be able to shop on the Website or benefit from certain campaigns, you may be required to create a user account based on an e-mail and password. All information you provide in the account form must be accurate, complete and up to date.

Account security is entirely the responsibility of the user. The password provided must never be shared with third parties, forgotten, or stored in notebooks or similar media.

9. TERMS RELATING TO PRODUCT SALES

Order Confirmation and Pricing:

Product prices are deemed valid at the time they are published on the Website. Versalis reserves the right to change prices (excluding promotional discounts) without prior notice for any reason.

The price of a product you add to your cart may be revised up until the final confirmation step at checkout. Once you complete the order, no request relating to any subsequent price change will be processed.

All prices on the Website include VAT. In cases where different tax rates or special taxes apply, transactions are carried out in line with your registered tax identification information.

Order Process and Payment:

To complete the order process, you must enter accurate, complete and up-to-date billing and shipping information.

During the payment stage, bank/credit card or virtual POS infrastructures integrated into the Website are used. Your credit card information is transmitted using 3D Secure and encrypted (SSL) by us. Versalis is not responsible for any damages arising from the theft or misuse of your card information; however, it ensures full implementation of the data security procedures specified in our privacy policy.

In the event of a system error or malfunction during payment, Versalis will promptly revise the process and inform you about alternative payment methods.

Stock and Order Cancellation:

Although stock status is updated rapidly, on rare occasions you may order a product that has already sold out due to technical reasons. In such cases, Versalis will inform you via e-mail or phone as soon as the stock status is clarified and reserves the right to cancel your order or offer an equivalent alternative product.

For orders cancelled due to stock issues, refunds will be made within a maximum of 5 business days, depending on the refund method (credit card, bank transfer, etc.).

Delivery and Shipping Process:

Following order confirmation, packaging and logistics preparation generally begin within 1 business day. Shipments are handed over to contracted cargo companies in line with their planned delivery times.

Delivery times (1–2 business days within Istanbul, 2–4 business days across Türkiye) may vary depending on regional conditions and the capabilities of the cargo company; international deliveries are currently not available.

Once we hand your order over to the cargo company, your tracking number will be shared with you. When receiving your shipment, you must check the packaging for any visible damage and, if any, have the cargo officer note “package damaged” and report this note electronically/orally to the Versalis Support Team.

Product Exchange and Return Conditions:

Product returns or exchanges are subject to the conditions stated on Versalis’ Returns and Exchange Policy page. In particular:
• You must notify your request for a return or exchange via e-mail to info@sapphiresc.com within 14 days from the date of delivery.
• For product returns, the product box must be undamaged, labels must be intact and the product must be unused.
• The shipping cost for returned products may be borne by the customer or Versalis depending on sales campaigns and promotional conditions; details are explained in our returns policy. -
For any return request, you must provide your invoice or waybill information in full. After your return is approved, you will be instructed on how to provide your shipment label to one of Versalis’ suppliers or contracted cargo companies.

10. INTELLECTUAL PROPERTY AND COPYRIGHT

Trademarks and Registered Rights:

“Versalis” logos, the “So Soft” collection name, all brands, graphics, product designs and promotional materials belonging to Versalis are protected under Versalis’ registered or unregistered trademark rights. In the event that third parties use these rights without permission, Versalis reserves the right to pursue legal remedies.

The Website’s domain name, code structure and infrastructure are the exclusive property of Versalis. You may not claim that any abbreviation, link sharing or domain name similarity belongs to Versalis.

Scope of Copyright:

All texts, images, photographs, videos, software code, graphics, drawings and any other content (hereinafter referred to as the “Content”) on the Website belong to Versalis and/or its licensors.

Force Majeure:

Versalis shall not accept any liability for compensation in the event of disruptions in the provision of the Service due to force majeure events such as natural disasters, pandemics, war, strikes, public holidays/curfews, infrastructure failures, government restrictions and other extraordinary circumstances beyond its control.

Following the cessation of force majeure events, Versalis will make all reasonable efforts to restore the Service to normal within a reasonable time.

17. TERMINATION AND DISPUTE RESOLUTION

Termination:
– In the event that any irregularity, illegal activity, infringement of property rights or other acts constituting an offense as set out in this Notice are notified to Versalis or to you, and such violations continue despite all warnings, Versalis may immediately suspend or terminate your access to the Website.
– You may also terminate this Notice at any time by ceasing to access the Website or use the Services provided through the Website. All your membership data and order history may continue to be stored in accordance with Versalis’ archiving policies; if you request deletion of your data, we will evaluate this request and respond as soon as possible in line with our privacy policy. -
Dispute Resolution:
– Any dispute arising from or in connection with this Notice or the Services and Products offered on the Website shall first be sought to be resolved amicably between the parties. If no settlement is reached, Bursa (Central) Civil Courts of First Instance and Enforcement Offices shall have jurisdiction.
– In disputes arising from consumer transactions, the provisions of the Law No. 6502 on the Protection of Consumers shall remain reserved.
